The following Terms & Conditions are established by LEAD SCIENCES. These Terms & Conditions shall apply to all products and services provided and distributed by LEAD SCIENCES on behalf of other suppliers. This document is a legally binding agreement between you as the user(s) of the site (referred to as “you”, “your” or “user” hereinafter) and LEAD SCIENCES – owner of the website www.lead-sciences.com

Acceptance

LEAD SCIENCES acknowledges receipt of user’s order and accepts user’s order expressly conditional on user’s consent to the terms and conditions listed here on www.lead-sciences.com.

Products and Prices

Since we are continuously upgrading our products and services, the contents of our website, such as text, graphics, images information and other material (‘Content’), may be modified or completely changed without a prior notification. All the contents of this website are protected by copyright and other intellectual property laws, and all intellectual property rights in them belong to LEAD SCIENCES, or are licensed to it.

Some products and services advertised through our website may not be eligible for purchase depending on local laws in a user’s country or their intended use for the product. LEAD SCIENCES is not responsible for, but reserves the right to, determine the eligibility of a user to access website services and ability to purchase.

All prices are in Euros. Duty, applicable taxes, shipping charges and any special packaging charges are excluded and will be added to the invoice to be paid by Buyer. Prices listed on lead-sciences.com or provided by any representatives of Lead Sciences are subject to change without a prior notice. Written quotations are guaranteed for 30 days.

Payment

Terms of payments are net thirty (30) days from Seller’s date of invoice unless otherwise agreed in writing. Seller reserves the right to charge interest at the rate of 1.5% per month for all amounts that are more than thirty (30) days past due. Seller reserves the right to require full advance payment in certain cases for any reason. Buyer is responsible for bank charges for all overseas transactions.

Shipping and Returns

Shipment will be made promptly from Lead Sciences from sophisticated warehouses in USA, Europe and Asia. When possible, LEAD SCIENCES uses priority overnight delivery services, or use the shipping method specified by the Buyer. Products that require special packaging and conditions may incur additional charges. LEAD SCIENCES adheres to all regulations governing the transportation of our products.

For USA users, by purchasing any product or service from LEAD SCIENCES, you authorize LEAD SCIENCES to act as your agent for preparing Toxic Substances Control Act (TSCA) certification statements.

The Buyer shall inspect products immediately on receipt and inform the Seller of any damage or quality problem within 5 days. If the Buyer fails to do so, such Products shall be deemed to have been accepted by the Buyer.
All returns must be authorized by the Seller and all products must be in unused and resalable condition. All items must be returned within 30 days and must include a copy of the Seller’s invoice, Seller’s return authorization number, and the reason for the return. Returns are not accepted for any opened chemicals or products provided by the Seller on a “Special Order”.

If assistance is required in filing a claim for a lost, incomplete, or damaged shipment; please contact LEAD SCIENCES for assistance.

Errors and Omissions

LEAD SCIENCES shall not be held responsible for any typographical and clerical errors which may be present on an order in the price or specifications contained herein.

Quality

LEAD SCIENCES considers quality a key criterion for every chemical. All chemicals listed are subjected to number of quality control tests to ensure quality. At time of purchase, the standard purity and physical constants stated in the Certificate of Analysis are typical values; they may vary slightly from batch to batch. If more information is needed concerning quality, please contact us.

Product decomposition due to Buyer’s mishandling or improper storage is not warrantied.

Toxicity and Hazards

All our chemicals should be handled only by competent, suitably trained persons, familiar with laboratory procedures and potential chemical hazards.  A complete MSDS is available on the LEAD SCIENCES website or upon request. LEAD SCIENCES bares no responsibility for the improper handling of any chemical. All products sold by LEAD SCIENCES carry the condition that liability for any injury, loss or damage whatsoever to persons or real property resulting from the purchase is at the total responsibility of the buyer. Acceptance of our goods binds the Buyer to these terms.

Information may not be available on the possible hazards of many chemicals. The absence of a warning must not be interpreted as indication or representation of safety.

Warranties

LEAD SCIENCES warrants that all compounds provided match the description and specifications as stated in our catalogue and on our certificates of analysis. This warranty is exclusive, and seller makes no other warranty, expressed or implied, including any implied warranty of merchantability or fitness for any specific use and non-infringement. It is Buyer’s responsibility testing the product to confirm that it matches the specification of compound before using it. There will be no warranty or refund if any problem is found after the compound has been used. The Seller’s sole and exclusive liability is to replace the product without charge or to refund the purchase price upon the return of items in accordance with Seller’s instructions. LEAD SCIENCES shall not be liable for any incidental, consequential or contingent damages.

For errors in ordering by the Buyer, no product will be accepted for return without a LEAD SCIENCES issued return authorization number. If delivery of a shipment to the Buyer is refused, shipping and administrative charges may be applicable.

No license or warranty/representation is given by the Seller that the Products do not infringe any letters, trademarks, patents, registered designs or other industrial rights.

Order Changes/Cancellation

A client must request a cancellation of an active order in writing.  If the product has been shipped, shipping and administrative fees may be charged.

LEAD SCIENCES reserves the right at any time to change, by written notification, quantity, drawings, designs, specifications, materials, packaging, time and place of delivery or method of transportation. If any change causes an increase or decrease in the cost or the time required for performance, an equitable adjustment shall be made, and this order shall be modified by change order. LEAD SCIENCES reserves the right to terminate this order or any part hereof at its sole convenience. LEAD SCIENCES communicate any changes to the order/cancellations to the Buyer

Use of Products

Our chemicals are manufactured under non- cGMP conditions and are intended only for laboratory and scientific research purposes.

Buyer agrees to indemnify and hold LEAD SCIENCES harmless from and against any and all losses damages and expenses whatsoever or howsoever caused, arising from any use by Buyer of the chemical; and assumes all risk and liabilities resulting from the use of the chemicals whether used individually or in combination with other products.

Governing Law; Dispute Resolution

The above stated terms and conditions are governed by the Dutch law. Any dispute shall be resolved by the Dutch court.
